Referral Program Terms & Conditions

1. Acceptance of These Terms

These Referral Program Terms & Conditions (the "Referral Terms") govern your participation in the ImpliedOptions referral program (the "Program"). By participating in the Program, you agree to be bound by these Referral Terms, our Terms of Service, and any other policies referenced therein (collectively, the "Agreement"). If you do not agree, do not participate in the Program.

2. Eligibility

You must be at least 18 years old and have a valid ImpliedOptions account in good standing. Company employees and contractors may be excluded. Participation is void where prohibited by law. We may require identity, tax, and payment verification before any payout.

3. Key Definitions

• Referrer: a registered ImpliedOptions user who shares a unique referral code or link.
• Referred User: a new user who signs up using the Referrer's unique code or link and purchases a qualifying paid subscription.
• Qualifying Subscription: a paid Pro or Premium plan purchased by a Referred User, excluding free trials and any non‑paid periods.

4. Referral Attribution

Referral credit is attributed only when the Referred User: (a) arrives via the Referrer's unique link or enters the Referrer's unique code at sign‑up or checkout, and (b) completes purchase of a Qualifying Subscription without using a different referrer's code or link. In cases of multiple referrals, we determine attribution in our sole discretion. Self‑referrals, referrals within the same household, and duplicate or fraudulent accounts are ineligible.

5. Payout Amounts and Basis

• For each month in which a Referred User maintains an active, paid Pro subscription, the Referrer becomes eligible for US$5 for that month.
• For each month in which a Referred User maintains an active, paid Premium subscription, the Referrer becomes eligible for US$10 for that month.
• Free trials and any non‑paid periods do not generate payouts. If a purchase involves any promotion or discount, the payout basis is the final amount actually collected by us for that billing period, net of discounts, credits, taxes, and fees.
• Payouts for a given Referred User are available for up to 12 consecutive billing months from that user’s first paid month. We may prorate or reverse payouts for partial months, refunds, chargebacks, cancellations, credits, fraud, or billing errors.
• Global Cap: the total amount payable to a Referrer under the Program is capped at US$1,000 in the aggregate over any rolling 12‑month period.

6. Payment Timing and Method

Subject to verification and compliance reviews, payouts are typically processed on a monthly schedule, with a standard hold period of up to 30 days after the close of the relevant billing month to account for refunds, chargebacks, and fraud checks. We may establish minimum payout thresholds and will remit payments using the method we select (e.g., bank transfer, Stripe, store credit). You are responsible for providing accurate payment details; failed or delayed payments arising from inaccurate information are not our responsibility.

7. Our Rights; Discretion; Withholding

To the fullest extent permitted by law, we may, in our sole discretion and at any time, determine eligibility, verify referrals, withhold, offset, delay, or refuse payouts; require additional information; and correct any errors. We may suspend or terminate any participation we suspect to be associated with fraud, manipulation, abuse, policy violations, or legal risk. Our determinations are final and binding.

8. Prohibited Conduct

• Self‑referrals or referrals between accounts you control, or within the same household.
• Misrepresentation, spamming, unsolicited commercial communications, cookie stuffing, adware, spyware, or other deceptive practices.
• Bidding on our brand names or domains, creating confusingly similar domains, or representing yourself as our employee or agent.
• Any conduct that violates applicable law, these Referral Terms, or our Terms of Service.

9. Taxes and Compliance

You are solely responsible for any taxes, filings, and reporting obligations arising from payouts. We may require tax forms (e.g., W‑8/W‑9) and may withhold amounts as required by law. Failure to provide requested documentation may result in delayed or forfeited payouts.

10. Term; Termination; Changes

We may modify, suspend, or terminate the Program—or any participant's involvement—at any time, for any reason or no reason, with or without notice, to the maximum extent permitted by law. We may change payout amounts, caps, attribution rules, eligibility criteria, and other terms prospectively by posting updated Referral Terms. Continued participation after such changes constitutes acceptance. Upon termination, unpaid amounts may be forfeited if we determine in our sole discretion that payment would create risk, violate these Referral Terms, or contravene law.

11. Relationship of the Parties

Participation does not create any employment, agency, joint venture, or partnership relationship. You may not make commitments or representations on our behalf. You act as an independent party for your own account.

12. Limitation of Liability; Disclaimer

To the fullest extent permitted by law, ImpliedOptions and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for lost profits or revenues, arising from or related to the Program. The Program is provided "as is" without warranties of any kind, express or implied. Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the maximum extent permitted by law.

13. Governing Law and Venue

These Referral Terms are governed by the laws of Finland, without regard to conflict‑of‑laws principles. The courts located in Helsinki, Finland shall have exclusive jurisdiction over any dispute arising from or relating to the Program, and you consent to such jurisdiction and venue.

14. Entire Agreement; Priority

These Referral Terms supplement the Terms of Service. In the event of a conflict between marketing materials or prior communications and these Referral Terms, these Referral Terms control.
